U.S. Oil and Gas plc (PLUS: USOP), the oil and gas exploration company with explorations assets in Nye County, Nevada resolve that:
IN THE MATTER OF THE COMPANIES ACT 1963 TO 2009
IN THE MATTER OF U.S. OIL & GAS PLC (the “Company”)
NOTICE CONVENING AN EXTRAORDINARY GENERAL MEETING OF THE COMPANY
Notice is hereby given that an Extraordinary General Meeting of the above named Company will be held at Hotel Kilkenny, College Road, Kilkenny, Co. Kilkenny, Republic of Ireland on the 24th day of May, 2010 at 3.30pm, for the purpose of considering, and if thought fit passing the following Resolutions as Ordinary Resolutions, extended notice having been given pursuant to Section 142 and Section 182(2) of the Companies Act, 1963, as proposed by Members of the Company on the 22nd day of April 2010.
That Mr. Nial Ring be and is hereby removed from office as a director of the Company.
That Mr. Liam McGrattan be and is hereby removed from office as a director of the Company.
